• Advised Levim Lifetech Private Limited (company) in relation to an acquisition of 30% stake in it by Eris Lifesciences Limited. The acquisition is aimed at expansion of the company’s biotechnology footprint across a wide range of products and technologies.
• Advised Xcelerate Pte. Limited in its acquisition of a strategic equity stake in Carisma Solutions Private Limited, an Australia–focused business services provider in the financial, tax, and regulatory compliance space. The acquisition extends Xcelerate’s client footprint into Australia and the wider APAC region.
• Advised TVS Mobility Private Limited on the Joint Venture between Mitsubishi Corporation and Arai Shoji Co. Limited. TVS Certified Private Limited, the joint venture company, is an asset lite company that will facilitate the sale of used vehicles through online and offline platforms via an auction model.
• Advised and assisted M/s. Sapthrishi Buildcon LLP, part of hotelier Vikram Agarwal’s group entity in connection with acquisition of the landmark property known as ‘Clarion Hotel President’ from M/s. Ariff & Co. He provided support to the client on structure and documentation in connection with the ongoing SARFAESI proceedings, as well as the acquisition documents, facilitating acquisition of the property and simultaneously discharging the liabilities.
• Advised Kaavian Systems Private Limited and Tekplay Systems Inc. and their affiliates as sell-side counsel in connection with the sale of 100% shareholding in Kaavian and Tekplay to Sierra Support Centre Private Limited and Mr. Raghunathan Kumar.
• Advised the promoters of Spalon India Private Limited (Spalon) in connection with their stake sale in Spalon to JCB Salons Private Limited. Spalon is a premium spa and salon brand and operates business under the Bounce and Oryza brands across South India.
• Advised Vizag Hospital and Cancer Research Centre Private Limited (Vizag Hospital) and its shareholders in a transaction involving proposed sale of shares in Vizag Hospital to HealthCare Global Enterprises Limited (HCG), for an Enterprise Value of INR 4,140 Mn.
• Advised River Mobility, an e-scooter startup in relation to its USD 40 million – Series B fund raise led by Yamaha Motor Co, Ltd. The round also saw participation from existing investors Al-Futtaim Automotive, Lowercarbon Capital, Toyota Ventures and Maniv Mobility.
• Advised the Baashyaam group in connection with their acquisition of the iconic Crowne Plaza Chennai (Adyar Park) property for re-development of the same.
• Advised Baashyaam Group on the acquisition of Haddows Road property, spanning more than 5.00 acres located at Nungambakkam, a prime locality in Chennai
• Advised and assisted TI Clean Mobility (part of Tube Investments of India Limited, Murugappa Group) in acquisition of 50% stake in Coimbatore based Jayem Auto for a total consideration of approx. USD 25 million.
• Advised and assisted River Mobility, a start-up but robust EV player, in its series of investments (USD 15.00 million) from Al-Futtaim Group, Lowercarbon Capital, Toyota Ventures, Maniv Mobility and Trucks Venture Capital.
• Advised and assisted Athulya Senior Care, which is a leading player in the assisted living and home healthcare space, in its USD 9.30 million private equity investment from North Haven India (fund managed by Morgan Stanley).
• Advised and assisted Ace Creative Learning (Deeksha), which specialises in helping preparations for competitive exams such as JEE, NEET, KCET, relating to its majority acquisition by Vedantu Group, in a approx. USD 40.00 million cash and stock deal.
• Advised and assisted Mr. Sreeram Raavi, founder of Eruvaka Technologies, which is a market leader in providing cloud-based aquaculture pond management solutions, in his stake sale to Nutreco International B.V.
• Advised and assisted the founders of Nextwave Multimedia, a leading developer of mobile games, in their stake sale to Nazara Technologies.
• Advised Pickyourtrail.com (PYT), a leading travel company, in connection with their series of investments from various family office / HNI investors.
• Advised and assisted Saravana Global in the setting up of their Category II AIF. The team advised and assisted on the SEBI application and preparation of fund-related documents.
• Advised Spark Capital’s Alternate Investment Fund in several structured funding transactions in portfolio companies engaged in varied segments.
• Advised Baashyaam Constructions in connection with a structured IBC resolution plan involving a composite scheme of arrangement.
• Advised the promoters / sell-side of Aparajitha Corporate Services, a market leader in regulatory and industrial compliance solution services, in their strategic equity partnership with and acquisition of controlling stake by Xcelerate Pte Ltd.
• Advised promoters / sell-side of Dr. Ganesan’s Hitech Diagnostic Centre Private Limited (brand Hitech Diagnostics), a well-known diagnostics chain, in connection with the acquisition of Hitech Diagnostics by Metropolis Healthcare Limited.
• Advised the shareholders of Wealth Advisors (India) Private Limited (WAI), engaged in providing portfolio management services and investment advisory services, in connection with the sale of their entire stake in WAI to IIFL Wealth Management, the wealth and asset management subsidiary of IIFL Holdings Ltd.
• Advised Truweight Wellness Private Limited (brand Possible) in connection with its Series B round of investments from several HNIs including Ms. Aishwarya Rai Bachchan.
• Advised Soliton Technologies, a global provider of purpose-built software for semiconductor design validation, in its strategic agreement, with NI (Nasdaq: NATI) an industry leader in providing robust high-productivity software platforms and systems.
• Advised Madura Micro Finance Limited (MMFL), its promoter and key employees in connection with MMFL’s majority acquisition by CreditAccess Grameen (CAGL) and subsequent merger into CAGL.
